Terms of Service

These Terms of Service ("Terms") govern your access to and use of ProCul (the "Service"), operated by ProCul KSA ("ProCul", "we", or "us"), a company domiciled in the Kingdom of Saudi Arabia. By creating an account, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
ProCul is an agentic B2B procurement platform. You submit a Request-for-Quote ("RFQ"); our AI agents draft outreach to verified suppliers, send those emails on your behalf when you approve, chase silent suppliers on a schedule, parse inbound replies into structured quotes, and provide market-price benchmarking.
2. Account eligibility
- You must be at least 18 years old and legally capable of entering binding contracts.
- You represent that the information you submit (organization name, contact details, commercial terms) is accurate and that you have authority to act on behalf of the organization you represent.
- One individual per account. Team collaboration is available on Pro and Enterprise plans via team seats.
3. Your responsibilities
- Approval of outbound email. ProCul will not send any message to a supplier without your explicit approval (you click "Send to suppliers"). You are responsible for the content of every message sent.
- No unlawful RFQs. You must not submit RFQs for goods or services prohibited under Saudi law or international sanctions applicable to the Kingdom.
- Supplier relationships. ProCul facilitates the outreach loop but does not itself sell goods. Any resulting commercial contract is between you and the supplier.
4. Subscriptions & billing
The Service is offered in three tiers: Starter (free), Pro (paid per-seat), and Enterprise (custom-quoted). Pro plans bill monthly or annually in Saudi Riyal (SAR) via a third-party payment processor. VAT is applied at the statutory rate.
You may cancel a monthly Pro subscription at any time, effective at the end of the current billing period. Annual subscriptions may be cancelled but are not refundable after the first 14 days (see "Returns & refunds" below).
5. Usage limits & fair use
Free-tier accounts are limited to three RFQs per calendar month and six suppliers per RFQ. Pro accounts have higher limits as published on our Pricing page. We reserve the right to throttle accounts that exhibit abusive patterns (e.g. bulk scraping, prompt injection attempts, sending intentionally misleading RFQs to damage supplier relationships).
6. Acceptable use
See our separate Acceptable Use Policy. In short: no spam, no illegal procurement, no circumventing supplier minimums, no attempts to bypass ProCul's sending limits by creating multiple accounts.
7. Intellectual property
The Service, including all software, design, documentation, and the ProCul brand and logo, is owned by ProCul KSA. You retain all rights to the RFQ content and supplier correspondence you create through the Service. You grant us a limited licence to process that content for the sole purpose of operating the Service (drafting, sending, parsing, pricing).
8. Third-party services
ProCul depends on third-party services including Supabase (database), Vercel (hosting), Resend (email), OpenRouter (LLM inference), and various Saudi price-data sources. Their outages, changes, or policy updates may affect ProCul. We will make reasonable efforts to communicate material disruptions on our Status page.
9. Warranties & disclaimers
The Service is provided "as is". Market-price intelligence is derived from public sources and AI synthesis; it is an indicative range, not a commercial guarantee. You must verify any critical number against supplier quotes before making purchase decisions. AI-drafted emails are reviewed and approved by you before sending; ProCul is not liable for their content after your approval.
10. Limitation of liability
To the maximum extent permitted by Saudi law, ProCul's aggregate liability under or in connection with these Terms shall not exceed the fees you have paid to ProCul in the twelve months preceding the claim. We are not liable for indirect, incidental, consequential, or lost-profit damages.
11. Termination
You may close your account at any time from your profile settings. We may suspend or terminate accounts that breach these Terms or the Acceptable Use Policy, with notice where practical.
12. Governing law
These Terms are governed by the laws of the Kingdom of Saudi Arabia. Disputes shall be resolved by the competent Saudi courts, subject to any applicable accelerator, incubator, or investor arbitration clauses agreed in writing with us.
13. Changes to the Terms
We may update these Terms from time to time. Material changes will be notified via email to your account address at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
